This Terms of Use Agreement (the “Agreement”) is made and entered into by and between you and Elite Visa Solutions (“Elite Visa Solutions”, “us”, “we”, or “our”). This Agreement sets forth the terms and conditions that govern your use of and access to the Website and any information, educational materials, mentoring content, assessments, communications, or services provided by or on the Website (collectively, the “Services”).
Please read these Terms carefully before using this Website. This Agreement requires the use of binding dispute resolution mechanisms on an individual basis rather than jury trials or class actions and also limits the remedies available to you in the event of a dispute.
1. Acceptance of this Agreement

Except for changes made for legal or administrative purposes, Elite Visa Solutions will endeavor to provide reasonable advance notice before the changes become effective. All changes will apply to your use of and access to the Services from the date the changes become effective and onward. For new users, any changes will be effective immediately upon posting.
Your continued use of or access to the Services following any changes to this Agreement constitutes your acknowledgment of such changes and agreement to be bound by the revised terms. You are responsible for reviewing this page regularly, as the updated Agreement is legally binding upon you.
2. Access to the Services
The Services may change from time to time as Elite Visa Solutions evolves, refines, modifies, or adds features, content, or functionality. Elite Visa Solutions reserves the right to modify, suspend, withdraw, restrict, or discontinue the Services, in whole or in part, at any time and without prior notice.
You agree that Elite Visa Solutions shall have no liability to you or to any third party for any losses or damages arising from the Services being unavailable, modified, suspended, or discontinued, whether in whole or in part, at any time or for any duration.
3. Policy for Using the Services
3.1 Prohibited Uses

3.2 Prohibited Activities

(g) No Monitoring or Copying Material. Copying, monitoring, scraping, mining, distributing, or disclosing any part of the Services by automated or manual means, including bots, spiders, crawlers, or offline readers, except as expressly permitted for public search indexing.
(h) No Viruses or Harmful Software. Uploading or transmitting viruses, malware, worms, logic bombs, or other harmful code, including denial-of-service attacks.

(j) No Reverse Engineering. Reverse engineering, decompiling, or attempting to extract source code or underlying systems.

5. Assumption of Risk

6. Privacy

Any interactions, transactions, or engagements you have with third parties accessed through the Services are solely between you and the third party.
If you choose to access any Third-Party Link, you do so entirely at your own risk and subject to the terms and conditions, privacy policies, and practices of the applicable third party. 8. Termination
8.1 Termination
Elite Visa Solutions reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your access to or use of the Services, in whole or in part, at any time and for any reason, including but not limited to a violation of this Agreement, suspected misuse of the Services, or conduct that Elite Visa Solutions believes may cause legal liability or harm.
Where reasonably practicable, Elite Visa Solutions may attempt to provide notice of termination through the contact information associated with your account or inquiry. However, Elite Visa Solutions is not obligated to provide advance notice and shall have no liability to you for any suspension or termination of access, including the termination of any account or communication privileges.
Upon termination, your right to access and use the Services shall immediately cease.
8.2 Effect of Termination
Upon termination of this Agreement for any reason, all provisions which by their nature should survive termination shall continue in full force and effect. This includes, without limitation, provisions relating to intellectual property ownership, disclaimers, limitations of liability, indemnification obligations, dispute resolution, and governing law.
Termination of your access to or use of the Services shall not relieve you of any obligations incurred prior to termination, nor shall it limit any rights or remedies available to Elite Visa Solutions under this Agreement or applicable law.
9. No Warranty
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELITE VISA SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, ELITE VISA SOLUTIONS DOES NOT WARRANT THAT:
(a) The information or content provided through the Services is accurate, complete, reliable, current, or suitable for your specific circumstances;
(b) The Services will meet your expectations or requirements;
(c) The Services will be available at any particular time or location, uninterrupted, timely, secure, or error-free;
(d) Any defects or errors will be corrected;
(e) The Services or any materials accessed through the Services are free from viruses, malware, or other harmful components; or
(f) Any outcomes discussed, referenced, or implied through the Services will be achieved.
No advice or information, whether oral or written, obtained from Elite Visa Solutions through the Services shall create any warranty or representation not expressly stated in this Agreement.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted by applicable law, any required warranties shall be limited in duration to ninety (90) days from the date of first use of the Services.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELITE VISA SOLUTIONS, ITS AFFILIATES, SERVICE PROVIDERS, REPRESENTATIVES, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, DIMINUTION OF VALUE, IMMIGRATION OR TALENT-PROGRAM REFUSALS, OR ANY OTHER INTANGIBLE LOSSES, WHETHER ARISING OUT OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, EVEN IF ELITE VISA SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE TOTAL AGGREGATE LIABILITY OF ELITE VISA SOLUTIONS FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) FIVE HUNDRED UNITED STATES DOLLARS (USD $500) OR (B) THE TOTAL AMOUNT PAID BY YOU TO ELITE VISA SOLUTIONS FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, liability shall be limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Elite Visa Solutions and its affiliates, representatives, employees, agents, successors, and permitted assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, penalties, fines, judgments, settlements, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) Your access to or use of the Services;
(b) Your violation of this Agreement or applicable laws;
(c) Any information or content submitted by you;
(d) Your disclosure of any third-party confidential or personal information; or
(e) Any misuse of the Services by you or by any third party acting through you.
Elite Visa Solutions reserves the right, at your expense, to assume exclusive control of the defense and settlement of any matter subject to indemnification, and you agree to cooperate fully in such defense.
12. Disputes
12.1 Governing Law
All matters relating to this Agreement, including any dispute, claim, or controversy arising out of or relating to this Agreement or the Services, whether sounding in contract, tort, statute, or otherwise, shall be governed by and construed in accordance with the laws of India, without giving effect to any conflict-of-law principles.
12.2 Dispute Resolution and Jurisdiction
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively through courts of competent jurisdiction located in New Delhi, India, and you hereby irrevocably submit to the exclusive jurisdiction and venue of such courts.
You expressly agree that all disputes shall be resolved only on an individual basis, and you waive, to the fullest extent permitted by applicable law, any right to initiate, join, or participate in any class action, collective action, representative proceeding, or consolidated action against Elite Visa Solutions.
12.3 Limitation to Time to File Claims
ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUED OR WHEN YOU REASONABLY SHOULD HAVE DISCOVERED THE CLAIM, WHICHEVER IS EARLIER. OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.
13. Miscellaneous
13.1 Waiver
No failure or delay by Elite Visa Solutions in exercising any right, remedy, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any partial exercise preclude further exercise of any right or remedy.
13.2 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be replaced with a valid provision that most closely reflects the original intent. The remaining provisions shall remain in full force and effect.
13.3 Entire Agreement
This Agreement, together with any documents expressly incorporated by reference, constitutes the entire agreement between you and Elite Visa Solutions regarding the Services and supersedes all prior or contemporaneous agreements or understandings.
13.4 Headings
Headings and section titles are provided for convenience only and shall not affect the interpretation of this Agreement.
13.5 No Agency, Partnership, or Joint Venture
Nothing in this Agreement creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Elite Visa Solutions. You have no authority to bind Elite Visa Solutions in any manner.
13.6 Assignment
You may not assign or transfer your rights or obligations under this Agreement without prior written consent from Elite Visa Solutions. Elite Visa Solutions may freely assign or transfer this Agreement without restriction.
13.7 Export Laws
The Services may be subject to export control and trade compliance laws. You agree to comply with all applicable export, re-export, and transfer restrictions and regulations and shall not use the Services in violation of such laws. You agree to indemnify Elite Visa Solutions for any violation of export control laws caused by your actions.
